Terms of Service
1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Unicornx ("Company," "we," "us," or "our") governing your access to and use of the Unicornx application, website, and decentralized trading services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.
You are responsible for ensuring that your use of the Service complies with all laws, rules, and regulations applicable in your jurisdiction. The Service may not be available or appropriate for use in certain jurisdictions.
3. Account Registration and Security
3.1 Registration
To access certain features of the Service, you must register for an account by providing your email address, phone number, and any other information requested. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
Create a strong password and keep it confidential
Do NOT share your account credentials with any third-party
Notify us immediately of any unauthorized use of your account or any other breach of security
We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
3.3 Wallet Creation
Upon registration, a wallet address will be generated for you through the MPC wallet service. You are solely responsible for maintaining the security of your wallet and private keys. We do not have access to your private keys and cannot recover them if lost.
4. Service Description
4.1 Decentralized Trading
Unicornx is a decentralized trading tool that allows users to trade digital assets. The Service facilitates peer-to-peer transactions without taking custody of users' funds.
4.2 Referral System
The Service includes a referral system that allows users to earn rebates by referring others to the platform. Users may share their referral links, and when others register and engage in trading activities through those links, both the referrer and the referred user may receive rebates according to our current referral program terms.
4.3 Trading Broadcasts
Users may publish broadcasts in the marketplace following the execution of trades. Other users may click on the trading card to follow the trade, thereby earning a commission on the transaction fees associated with those trades.
5. User Conduct
You agree not to:
Use the Service for any illegal purpose or in violation of any local, state, national, or international law
Violate or encourage others to violate the rights of third parties, including intellectual property rights
Engage in, promote, or facilitate illegal activities, including money laundering, terrorist financing, or tax evasion
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Use the Service to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
Manipulate or artificially inflate trading volumes or prices
Use the Service to engage in market manipulation, fraud, or deceptive practices
Impersonate another person or misrepresent your affiliation with a person or entity
6. Fees and Payments
6.1 Trading Fees
We charge fees for transactions executed through the Service. The current fee schedule is available on our website or within the application. We reserve the right to modify our fee structure at any time with notice to users.
6.2 Payment of Fees
Fees are automatically deducted from the relevant transaction amounts. By using the Service, you authorize us to deduct applicable fees from your transactions.
7. Risks and Disclaimers
7.1 Trading Risks
Trading digital assets involves significant risk. The value of digital assets can fluctuate significantly in a short period, and you may lose all or a substantial portion of your investment. You should carefully consider your financial circumstances and risk tolerance before trading.
7.2 Technical Risks
The Service relies on blockchain technology, which is subject to technical limitations and risks, including network congestion, forks, and technical vulnerabilities. We are not responsible for any losses resulting from these technical risks.
7.3 Regulatory Risks
The regulatory status of digital assets is uncertain and varies by jurisdiction. Changes in laws or regulations may adversely affect the use, transfer, or value of digital assets.
7.4 No Investment Advice
We do not provide investment, tax, or legal advice. Any information provided through the Service is for informational purposes only and should not be construed as professional advice.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its content, features, and functionality, is owned by the Company and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Service without our prior written consent.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE DATE THE CLAIM AROSE.
11. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

We reserve the right to modify or discontinue, temporarily or permanently, the Service or any features or portions thereof without prior notice. You agree that we will not be liable for any modification, suspension, or discontinuance of the Service or any part thereof.
12.2 Modifications to the Terms
We may revise these Terms at any time by posting the amended terms on our website or within the application. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revised Terms.
13. Termination
13.1 Termination by You
You may terminate your account at any time by following the instructions on the Service or by contacting us.
13.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
13.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of Singapore. The arbitration shall be conducted in Singapore. The decision of the arbitrator shall be final and binding.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
15.2 Waiver
No waiver of any term or condition outlined in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
15.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
15.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, at our sole discretion, without restriction.
15.5 Force Majeure
We shall not be liable for any failure or delay in the performance of our obligations under these Terms arising out of or caused by forces beyond our reasonable control, including without limitation acts of God, war, strikes or labor disputes, embargoes, government orders, or any other force majeure event.
16. PROHIBITED USES
16.1 You shall use the Site or Platform solely in compliance with these Terms and solely for your own Account or internal business purposes. You shall not sell, lease or otherwise provide access to the Site or Platform to any third party, nor act as a service provider or otherwise use the Site or Platform on behalf of any third party.
16.2 When using the Site or Platform, you shall not provide any information or content, or engage in any conduct, that: a. is unlawful, illegal or unauthorized; b. is defamatory of any person; c. is obscene, sexually explicit or offensive; d. advertises or promotes any other product or business; e. is likely to harass, disturb, embarrass, alarm or annoy any other person; f. is likely to disrupt the operation of the Platform in any way, or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; g. infringes any third party’s copyright, trademark, trade secret or other proprietary rights; h. restricts or inhibits any person from using the Platform, including but not limited to through hacking or tampering with any part of the Platform; i. disables, damages or alters the functionality or appearance of the Platform; j. “frames” or “mirrors” any part of the Platform without our prior written authorization; k. uses any robot, spider, site search/retrieval application or other manual or automatic device or process to download, retrieve, index, “data mine”, “scrape”, “harvest” or in any way reproduce or circumvent the navigational structure or presentation of the Platform or its contents; l. harvests or collects information about other users without their explicit consent; m. sends unsolicited or unauthorized advertisements, spam or chain letters to other users; p. transmits any content containing computer viruses or other harmful code, files or programs; q. advocates, promotes or assists any violence or unlawful act.
16.3 We do not provide services to the following restricted countries or regions:

16.4 We reserve the right, but have no obligation, to edit, delete, remove or block any information that violates these Terms.
